MEMORANDUM & ARTICLES OF ASSOCIATION
          NATIONAL HRD NETWORK


1. The name of the Society shall be "National HRD Network" here in after called "National Network".

2. The Registered Office of the National HRD Network shall be in the city of Ahmedabad , and presently Nagger, Sathyagrah Margh, Ahmedabad -380 054.

3. The objectives for which the National Network is established are:

(i) To help stimulate positive forces for humanising system and organisation in national life and help employees contribute their best efforts.

(ii) To discover knowledge and skills relevant to HRD, its philosophy, processes, and implementation, through exploration and experimentation

(iii) To generate, acquire and continuously develop new knowledge and HRD skills through research and development.

(iv) To build a storehouse of knowledge and skills in HRD with the professional rigour of science and philosophy.

(v) To disseminate HRD knowledge and skills among HRD professionals and practitioners. Share information and experiences related to HRD so as to learn and benefit from each other.

(vi) To strength the HRD movement in the country by:

a) drawing the attention of chief executives of different organisation, agencies and Government department to HRD philosophy, processes and their benefits;

b) assisting organisation and agencies in designing and implementation HRD system. Evaluating the impact of HRD processes, and giving the feed back of the results for improvement.

(vii) To break new ground for the HRD movement in terms of coverage of different human system and organisation based on national needs as well as innovative approaches and technologies.

(viii) To help develop professional expertise in HRD.

(ix) To maintain standard of professional excellence in HRD.

(x) To act as a clearinghouse for all referrals related to HRD activities in the country.

We take care of all the objectives pertaining to the development of human resources. We are a non-political professional body and our objectives cover all people irrespective of their caste, creed and religion. To achieve objectives we keep developing structures, norms, funding strategy, programmes and activities at regular intervals. The plan is to promote and provide for training, research and education in Human Resources Development; We award diplomas certificates and other distinctions; engage in research' consultancy and publication, collaborate with other institutions and organisations in related fields in India and overseas; raise funds, accept gifts, acquire and sell property for the objectives of the Network enter into agreement with the Government or other statutory bodies; appoint employees either on a temporary or on contract basis and pay the remuneration based on the terms and conditions of the networks; establish regional chapters; make and enforce rules and bye-laws intermittently and to repeal amend or alter the same; prepare and accounts including balance sheets as ay be required by the Government; and engage in all such other lawful things as may be considered conducive or incidental to the attainment of the above objectives.

4. The income and property of the network is used to promote its objectives. No portion thereof shall be paid or transferred directly or indirectly by the way of dividend or bonus or otherwise howsoever by way of profits to the persons who at any time are or have been members of the Network or to any person claim through any of them. Provides that nothing herein contained shall prevent the payment in good faith of remuneration to any officers or servants of the Network or any members thereof or other persons in return for any service actually rendered to the Network or the payment of interest on money borrowed from any member of the Network.

5. The liability of the members is limited but if any member of the Network who pays or receives any dividend, bonus or other profits in contravention of the fourth paragraph of those memorandum shall refund the same to the Network.

6. Every member of the Network contributes not more than Re. 1/- to the assets of the Network in the event if its being wound up during the time that he/she is a member or within one year afterwards for payment of the debts and liabilities of the networks contracted before the time at which he cased to be a member and for all the costs, charges, and expenses of winding up the same and for the adjustment of the rights of the contributories among the members of the Network there remains after but shall be given or transferred to some other society or societies to be the determined by the votes of not less than three fifths of the members present personally or by proxy at the time of dissolution or in default thereof, by the principal court of original civil jurisdiction at Ahmedabad.

The management of the affairs of the Network is entrusted to the Executive Board consisting of the following at the time of registration;
